Apache memory problem

When i run apache as service or standalone exe, it creates two separate processes, each consuming huge amount of memory. I`m using php 4.3.8 as loadable module.

I`ve tried clean install of apache 1.3.31 and apache 2.0.52 with the same result.

Please, help
